Terms of Service

Agreement

These terms govern your use of the Peak Perspective LLC ("Peak Perspective," "we," "us") website and services. By engaging our services, you agree to these terms.

Services

Peak Perspective provides Shopify theme development, conversion rate optimization audits, strategic ecommerce consulting, automation and systems implementation, and ongoing retainer partnerships. The specific scope of work for each engagement is defined in a separate statement of work or service agreement.

Retainer Packages

Retainer engagements are billed monthly via Stripe at the agreed tier rate. Billing begins on the date of enrollment and recurs on the same date each month. Project-based work is billed at an agreed flat rate with payment terms specified in the project agreement.

Payment Terms

All invoices are due upon receipt unless otherwise specified. Retainer payments are processed automatically via Stripe. Late payments on project-based work may incur a 1.5% monthly fee on outstanding balances after 15 days past due. We reserve the right to pause work on accounts with overdue balances.

Scope of Work

Each engagement has a defined scope agreed upon by both parties. Changes to scope require mutual written agreement and may affect timelines and pricing. Out-of-scope requests will be quoted separately.

Intellectual Property

Upon full payment, clients own all custom deliverables created specifically for their engagement, including custom theme code, design assets, and documentation. Peak Perspective retains ownership of internal tools, frameworks, reusable code libraries, and methodologies developed independently or across multiple engagements.

Confidentiality

Both parties agree to keep confidential any proprietary business information, technical data, customer data, and strategic plans shared during the engagement. This obligation survives termination of the engagement for a period of two years.

Limitation of Liability

Peak Perspective's total liability for any claim arising from our services is limited to the fees paid by the client in the three months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue or data loss.

Termination

Either party may terminate a retainer engagement with 30 days written notice. Upon termination, all work completed to date will be delivered, and any outstanding balance becomes due. Project-based engagements may be terminated by mutual agreement, with payment due for work completed.

Governing Law

These terms are governed by the laws of the State of Nevada. Any disputes will be resolved in the courts of the State of Nevada.

Changes to These Terms

We may update these terms from time to time. Changes will be posted on this page with an updated effective date. Continued engagement after changes constitutes acceptance.
